Outsourcing Inc. is a company listed on the Tokyo Stock Exchange whose first investment in Chile was in 2016. Its third acquisition in Chile consisted of acquiring 51% of the target, while the former owner kept 49%, a position on the Board of Directors and remained as General Manager.

Complex post-merger issues between shareholders, interpretation of the Shareholders Agreement, valuations of related party transactions, and resolution of vertical and horizontal conflicts of interest were part of the difficult aftermath of the end of 2018; all of which emerged during 2022 and continued into 2023.

On December 8, 2023, the board of directors of Outsourcing Inc. agreed to a tender offer for the company's its common stock by an affiliate of Bain Capital Private Equity.
